1. Account Terms

You are responsible for your Account and all activities under it.

1. To access and use the Services, you must register for a Lumoflo account ("Account"). To complete your Account registration, you must provide us with your full legal name, business address, phone number, a valid email address, and any other information indicated as required. Lumoflo may reject your application for an Account, or cancel an existing Account, for any reason, at our sole discretion.

2. You must be at least 18 years old to open an Account.

3. You confirm that you are receiving any Services provided by Lumoflo for the purposes of carrying on a business activity and not for any personal, household or family purpose.

4. You acknowledge that Lumoflo will use the email address you provide as the primary method for communication with you ("Primary Email Address"). You must monitor the Primary Email Address you provide to Lumoflo and your Primary Email Address must be capable of both sending and receiving messages.

5. You are responsible for keeping your password secure. Lumoflo cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.

2. Account Activation

Store ownership and payment processing setup

The person signing up for the Service will be the contracting party ("Store Owner") for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding Account we may provide to the Store Owner in connection with the Service.

Your Lumoflo Store can only be associated with one Store Owner. A Store Owner may have multiple Lumoflo Stores. "Store" means the online store or physical retail location(s) associated with the Account.

Payment Processing

All payments on Lumoflo must be processed through Lumoflo Payments. You are required to connect and verify a bank account to receive payouts from your sales. You cannot accept payments until your bank account has been connected and verified.

Payouts will be processed on a T+2 days schedule at minimum, where T is the date of purchase. This timeline may be extended based on risk assessment, transaction patterns, or other factors at Lumoflo's discretion.

Shipping Processing

Upon completion of sign up for the Service, you will need to connect your own shipping processor account to Lumoflo. Currently, we support Delhivery and Shiprocket [coming soon] as our primary shipping processor. If you prefer, you also have the option to manually manage shipping. Please note that Lumoflo does not create shipping processor accounts on your behalf, and it is your responsibility to set up and maintain your shipping processing capabilities.

3. Lumoflo Rights

Our platform rights and responsibilities

1. We reserve the right to modify or terminate the Service for any reason, without notice at any time. Not all Services or features will be available in all jurisdictions and we are under no obligation to make any Services or features available in any jurisdiction.

2. We reserve the right to refuse service to anyone for any reason at any time.

3. We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

4. Your Responsibilities

Merchant obligations and compliance

You acknowledge and agree that you are responsible for complying with all applicable laws and regulations in India, including but not limited to the Information Technology Act, 2000, Consumer Protection Act, 2019, and all applicable tax laws.

You are responsible for maintaining accurate inventory information, processing orders promptly, and providing customer support according to your stated policies. While Lumoflo provides automation tools for these processes, you remain responsible for their accuracy and execution.

5. Payment of Fees and Taxes

Billing and taxation terms

All fees are quoted in Indian Rupees (INR). You will be billed on a monthly basis for the use of our services. Payments must be made through our approved payment methods.

You are responsible for all applicable taxes, including GST, and must provide valid GST registration details if applicable.

6. Confidentiality

Data privacy and protection

We comply with Indian data protection laws and regulations. Your data and your customers' data will be processed in accordance with our Privacy Policy and applicable Indian laws, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

7. Intellectual Property Rights

Content ownership and licenses

You retain all ownership rights to your content. By uploading content to Lumoflo, you grant us a license to use, display, and process it for the purpose of providing our services.

8. Termination

Account closure terms

Either party may terminate this agreement at any time. Upon termination, your store will be taken offline and you will lose access to your Account. You will receive a final invoice for any outstanding fees.

9. Modifications to Terms

Updates to these terms

We reserve the right to modify these terms at any time. We will notify you of significant changes via your Primary Email Address. Continued use of our services after such modifications constitutes acceptance of the updated terms.

10. Governing Law

Legal jurisdiction

These Terms of Service shall be governed by and interpreted in accordance with the laws of India. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts in Mumbai, India.
